Roff Oil & Gas, Ltd. is a limited partnership engaged in the exploration and production of oil and gas reserves in Texas, Wyoming, Oklahoma and the U.S. mid-continent region. Founded in 1999, Roff has consistently pursued an aggressive and successful drilling program. Roff has developed multiple programs in varying locations and geological conditions, ranging from development activity to exploration, from shallow developments to deep reservoirs, and including both oil and natural gas. Roff believes its careful control of costs, sophisticated financial oversight, and conservative approach to geological and engineering risk have been the cornerstone of its success. Roff has an outstanding health, safety and environmental record.

While Roff seeks to identify and acquire proved developed producing reserves with development opportunities, Roff places more emphasis on the exploration of reserves in areas near to existing fields that share similar geological and other attributes. These areas have higher finding risk, but when successful their returns are very high and result in better returns than a pure acquisition strategy. Roffs strategy also includes:

• Working in areas it knows well and where it is familiar with the risks associated with a prospect. Roffs experience and contacts in its area of focus give it early information on potential acquisitions or prospects, technical knowledge specific to areas under development, and other relevant information such as innovations in production techniques

• Pursuing projects with multiple productive reservoirs that offer secondary objectives in drilling.

• Focusing on Texas and the mid-continent region. Area basins have been major producers of oil and gas for decades, and good technical data, including well logs and seismic and production information, are readily available for interpretation. Onshore projects often have fewer environmental challenges and slower depleting reserves.

• Developing projects in active hubs of oil and gas asset transactions, with large numbers of interested buyers.

• Maintaining Roffs status as a flexible, low cost operator. Roff acquires and develops properties or prospects that have the potential for substantial reserve additions and that can be initially tested for a modest amount.

Principals

Rofs principals, J. Hugh Roff, Jr., Andrew W. Roff and Charles L. Roff, have a successful record of providing high returns to investors and shareholders over many years. Roff, their current business venture, was formed by Hugh, Andrew and Charles in 1999 with the purchase of a working interest in the Breedlove Field near Midland Texas. In the intervening years Andrew and Charles have managed the establishment and growth of Roff, with Hugh providing general oversight and acting as President of the general partner. Roff has grown from a startup with one field and limited wells to a full-fledged oil and gas operator with interests in more than 150 wells in seven fields.  Hugh Roff began his energy career in 1974 as President, Chairman of the Board and Chief Executive Officer of United Gas Pipe Line Company, subsequently renamed United Energy Resources, Inc. ("UER"), a major U.S. diversified energy company listed on the New York Stock Exchange. In 1985 Hugh completed the sale of UER to MidCon Corporation ("MidCon"), an interstate pipeline company. In 1986 Hugh led a leveraged buyout of PetroUnited Terminals, Inc. ("PetroUnited"), an operator of bulk liquid storage facilities on the U.S. Gulf Coast, where he served as Chairman of the Board until its sale in 1998. Hugh, Andrew and Charles founded Roff Oil & Gas in 1999.  Andrew, an MBA graduate of Columbia University, previously worked in the treasury department of Pennzoil Company overseeing Pennzoils domestic financing activities. In 1997 he joined Hugh and Charles at PetroUnited where he worked in marketing and finance. Charles Roff, a J.D. graduate of the University of Texas, worked in the legal department of Sonat Exploration Company and Sonat Offshore Drilling, Inc., major production and drilling subsidiaries of Sonat Inc., from 1988 to 1995. Charles joined PetroUnited in 1995, where he worked in operations and began PetroUniteds activities in China. Andrew and Charles assisted in the sale of PetroUnited in 1998 and then successfully transitioned to the upstream energy industry with their current venture.  A key ingredient of Roffs success has been identifying and cooperating with quality operational personnel to provide the technical skills necessary to succeed. For Roff, such technical skills are primarily provided by John R. Polleys and Mark A. Busing. John, who holds a Bachelor of Science degree in Geology from Colorado State University and a Master of Business Administration degree from Baylor University, has worked as a geologist for 35 years in Oklahoma, Texas and Wyoming and co-founded and managed an oil and gas investment company. Mark is a 2009 graduate of Texas A&M University with a degree in Geology and a minor in Petroleum Engineering and earned a Master of Science degree in Geology and Geophysics from Stephen F. Austin State University in 2014.
